Creator Terms

OGROTI Content Creator Onboarding, Platform Participation & Content Licensing Terms and Conditions

Version 1.1 · Effective 12 October 2026

In short

  • OGROTI is a place to show your creator journey and receive collaboration requests from brands OGROTI has onboarded.
  • OGROTI handles every conversation with a brand. Your email, phone and address are never given to a brand, and theirs aren't given to you.
  • For collabs with a product, the brand sends it to OGROTI first. We check it, then deliver it to you.
  • You keep ownership of your content. You let OGROTI show it on your profile and promote it, with credit.
  • Paid or gifted posts must be clearly disclosed (for example #ad), and you tag the brand and @ogroti.official.
  • For 12 months after a collab arranged through OGROTI, further collabs with that brand also go through OGROTI.
  • Joining OGROTI costs creators nothing. OGROTI doesn't promise you collabs, payments or results.

This summary is for convenience. The sections below are what apply.

1. About these Terms

1.1 These Terms govern the registration, verification, listing and participation of content creators on the digital platform operated under the trade name OGROTI, a sole proprietorship based in Bengaluru, Karnataka, India ("OGROTI", "we", "us" or "our"). Contact: hello@ogroti.net.

1.2 "Creator" or "you" means the individual, sole proprietor, agency or other legally recognised entity registering or participating on the Platform, acting through a legally competent and duly authorised representative where applicable.

1.3 You accept these Terms by ticking the acceptance checkbox, which identifies these Terms by title and version. You are asked to accept them when you create or claim your OGROTI page, and again when you accept a collaboration request if a newer version applies.

1.4 These Terms become a legally binding agreement when you accept them. OGROTI may still refuse, suspend or end participation as set out in these Terms.

2. Definitions

2.1 "Platform" means https://ogroti.net and the creator interfaces operated by OGROTI.

2.2 "Creator Content" means photographs, videos, reels, audio, graphics, scripts, captions, portfolios, testimonials, profile information and other material submitted or expressly authorised for use on the Platform, and material OGROTI prepared from your public channel that you keep after claiming your page (clause 6.6).

2.3 "Brand" means a business OGROTI has onboarded to send collaboration requests on the Platform.

2.4 "Collaboration" or "Collab" means a promotional, advertising, creative-production or endorsement assignment arranged through OGROTI between a Brand and a Creator.

2.5 "Material Connection" includes payments, gifts, products given at no cost, discounts, barter benefits, travel, employment relationships or other benefits capable of affecting the credibility of an endorsement.

2.6 "Applicable Law" means laws, regulations and binding legal requirements applicable to the relevant person, activity or content.

3. Eligibility, registration and verification

In short: You must be 18 or over, give accurate information, and only list channels you control.

3.1 A Creator registering individually must be at least eighteen (18) years old and legally competent to enter into a contract. An entity must act through a duly authorised representative.

3.2 The Creator shall provide accurate and current information reasonably necessary for registration, including name, contact email, social-media profiles and the information shown on their page.

3.3 OGROTI may ask the Creator to prove control of a channel (for example by adding a code to the channel description) and may request reasonable evidence of identity or authority where needed to address suspected impersonation, fraud or legal non-compliance.

3.4 The Creator shall not impersonate another individual or entity, misrepresent follower counts or engagement, submit fraudulent credentials or use accounts or content without appropriate authorisation.

3.5 OGROTI may refuse, suspend or require correction of a registration on reasonable legal, operational, security or compliance grounds. Registration does not create an unconditional right to participate.

4. What OGROTI does and doesn't do

In short: OGROTI runs your page and handles collabs in the middle. It doesn't employ you, act as your agent or guarantee results.

4.1 OGROTI provides creator pages, category-based discovery and a way for onboarded Brands to send Collaboration requests, which OGROTI then coordinates.

4.2 Unless separately agreed in writing, OGROTI does not employ the Creator, act as the Creator's talent manager or exclusive agent, guarantee assignments, determine compensation, or collect or settle payments between Creators and Brands.

4.3 OGROTI handles all communication between a Brand and a Creator. Neither the Brand nor the Creator is given the other's contact details (email address, phone number or postal address).

4.4 Coordinating a Collaboration does not, by itself, make OGROTI a party to an agreement between a Creator and a Brand.

4.5 OGROTI does not guarantee profile visibility, follower growth, requests, sponsorships, assignments, revenue, commercial success or any particular Platform ranking.

4.6 OGROTI may modify, improve, suspend or discontinue Platform features, subject to Applicable Law and any expressly accepted commercial commitments.

5. Independent relationship

5.1 The Creator participates as an independent person or business and not as an employee, partner, franchisee, joint venturer or general agent of OGROTI.

5.2 No Creator shall represent that OGROTI employs, sponsors, certifies, endorses or guarantees the Creator or the Creator's services merely because a page appears on the Platform.

5.3 The Creator remains responsible for personal or business taxes (including tax on benefits received in kind), registrations, professional obligations, personnel, equipment, insurance and operating expenses.

5.4 Neither Party may enter into commitments or incur obligations on behalf of the other without express written authority.

6. Your content and our licence

In short: You keep ownership. OGROTI may show and promote your content with credit, nothing more without asking.

6.1 Subject to Applicable Law and third-party rights, the Creator retains ownership of Creator Content.

6.2 The Creator grants OGROTI a non-exclusive, royalty-free, worldwide licence, during participation, to host, store, reproduce, resize, format, technically adapt, display, index and communicate Creator Content for the Creator's page and OGROTI-controlled promotion of that page and of the OGROTI Platform.

6.3 The licence includes sharing, with credit to the Creator, posts the Creator publishes for a Collaboration arranged through OGROTI, on OGROTI's own website and social-media accounts (for example @ogroti.official).

6.4 The licence includes reasonable technical use by OGROTI's contracted hosting, storage, security and content-delivery providers solely for operating the Platform.

6.5 The licence does not transfer copyright ownership or authorise unrelated commercial exploitation. OGROTI shall obtain separate permission before using Creator Content in an unrelated advertising campaign, granting a commercial sublicence or materially expanding permitted use.

6.6 Where OGROTI prepared a page from publicly available information on the Creator's channel (including channel statistics, public videos and an automatically written introduction), the Creator may edit or remove any of it after claiming the page. Material the Creator keeps is treated as Creator Content.

6.7 The Creator warrants that all necessary permissions, licences, releases and consents have been obtained from copyright owners, performers, photographers, videographers, models and other relevant rights holders, and shall not submit unlicensed music, stock footage, photographs, trademarks or other protected material.

6.8 Upon termination, OGROTI shall cease active public display of Creator Content within fifteen (15) business days, subject to lawful archival retention, technical backups and third-party caching outside its reasonable control.

7. Your promises

7.1 All information the Creator provides is materially accurate, complete and not misleading.

7.2 The Creator owns or lawfully controls the rights necessary to submit and authorise use of Creator Content.

7.3 Creator Content shall not unlawfully infringe copyright, trademarks, personality rights, privacy rights, publicity rights or other protected interests, and shall not contain fraudulent claims, fabricated testimonials, deceptive endorsements, unlawful discrimination, defamatory statements, threats or other unlawful material.

7.4 The Creator shall not purchase or artificially generate followers, views, likes, reviews, comments or engagement metrics.

7.5 The Creator shall comply with Applicable Law concerning advertising, consumer protection, intellectual property, personal data, online communications and sector-specific endorsements, and shall promptly inform OGROTI of any material change affecting identity, authority, ownership of submitted content or compliance with these Terms.

8. Advertising and disclosure

In short: Clearly mark paid or gifted posts, and don't make claims you can't back up.

8.1 The Creator shall comply with applicable consumer-protection legislation, the Central Consumer Protection Authority's guidelines concerning misleading advertisements and endorsements, and applicable Advertising Standards Council of India (ASCI) guidelines.

8.2 Where a post involves a Material Connection, the Creator shall make a clear, prominent and timely disclosure, for example "Advertisement", "Ad", "#ad", "Sponsored", "Collaboration" or the platform's paid-partnership label.

8.3 The Creator shall not conceal commercial relationships, make unsupported performance claims, fabricate product experiences or represent that a product has been personally tested where that is untrue, and shall exercise reasonable due diligence before endorsing products or services.

8.4 Content involving food, nutrition, health, medicines, cosmetics, financial products, investments or other regulated categories shall comply with the additional requirements applicable to that subject.

8.5 The Creator shall comply with lawful directions to correct, clarify, disclose or remove non-compliant advertising content. OGROTI may decline, restrict or remove content presenting credible legal or regulatory concerns, without thereby guaranteeing the compliance of content that remains displayed.

9. Collaborations through OGROTI

In short: OGROTI stays in the middle: it checks products before they reach you, arranges visits, and keeps everyone's contact details private.

9.1 Brands send Collaboration requests through OGROTI. The Creator chooses whether to accept, propose terms or decline each request. Accepting a request is not acceptance of any particular deliverable until the details are agreed.

9.2 OGROTI coordinates each Collaboration and handles all communication between the Brand and the Creator. Neither side is given the other's contact details (email address, phone number or postal address).

9.3 For a Collaboration involving a product, the Brand sends the product to OGROTI. OGROTI checks it on arrival, covering the seal and packaging, the labels, the MRP, the expiry date and, for food, the FSSAI marking, and records its condition. OGROTI then delivers it to the Creator through its courier partner, at OGROTI's cost. A product that does not pass the check is not sent to the Creator.

9.4 OGROTI does not test what is inside a product and is not responsible for its quality, safety or performance beyond the check in clause 9.3. If a delivery is lost or damaged in transit, OGROTI will work with its courier partner to resolve it.

9.5 For a Collaboration without a product, such as a store visit, OGROTI arranges the date, time and place with the Brand and the Creator separately.

9.6 In each Collaboration post, the Creator tags the Brand and OGROTI (@ogroti.official) and discloses the Material Connection as set out in clause 8.

9.7 For twelve (12) months after a Collaboration arranged through OGROTI, any further Collaboration between the Creator and that Brand shall also be arranged through OGROTI, and the Creator shall not use the Collaboration to circumvent OGROTI.

9.8 Unless OGROTI expressly becomes a contracting party under a separately executed agreement, OGROTI is not responsible for a Brand's payment, performance, campaign instructions or other independent obligations.

10. Separate campaign terms

10.1 Registration on OGROTI does not constitute acceptance of any particular Brand assignment.

10.2 The details of a Collaboration, such as deliverables, timelines, compensation, taxes, approvals, publication channels, disclosure, intellectual-property rights, revisions, cancellation and dispute resolution, shall be agreed for that Collaboration.

10.3 The Creator shall not use OGROTI's name, logo or reputation to solicit payments, misrepresent authorisation or imply that OGROTI guarantees a Brand's commercial obligations.

10.4 No commission, subscription, platform fee or other charge to the Creator arises from accepting these Terms unless expressly disclosed and affirmatively accepted through separate commercial terms.

11. Prohibited activities

11.1 The Creator shall not: (a) submit unlawful, infringing, deceptive or unauthorised content; (b) impersonate another person, brand or organisation; (c) manipulate engagement metrics or publish fabricated reviews; (d) unlawfully violate privacy, confidentiality or personality rights; (e) introduce malware or interfere with Platform security; (f) scrape, extract, sell or misuse non-public Platform data; (g) solicit unlawful payments or misrepresent OGROTI's authority; (h) undertake illegal advertising, prohibited promotions or fraudulent activities; or (i) otherwise materially breach these Terms or Applicable Law.

12. Confidentiality

12.1 The Creator shall protect non-public information disclosed by OGROTI or a Brand in connection with a Collaboration, use it only for that purpose and not disclose it without permission, except where disclosure is required or protected by law.

12.2 Confidentiality obligations do not restrict lawful whistleblowing, protected disclosures or cooperation with competent authorities.

12.3 Confidentiality obligations survive termination for three (3) years; legally protected trade secrets remain protected for as long as they retain that status.

13. Privacy and personal data

13.1 OGROTI processes personal data as described in the OGROTI Creator Privacy Notice, which is made available before the Creator accepts these Terms.

13.2 The Creator shall provide personal information only where lawfully authorised and shall not upload unnecessary identity documents or third-party personal information.

13.3 Optional promotional communications requiring consent are subject to a separate, voluntary consent.

13.4 The Parties shall comply with applicable personal-data and cybersecurity obligations, including the Digital Personal Data Protection Act, 2023 and associated rules as they come into force.

14. Content review, complaints and takedown

14.1 OGROTI may review, request modification of, restrict, suspend or remove Creator Content on credible grounds of infringement, misleading advertising, impersonation, security risk, regulatory non-compliance or breach of these Terms, and may act immediately where necessary to address urgent legal, security or safety concerns.

14.2 Where lawful and reasonably practicable, OGROTI shall give notice of material restrictions and an opportunity to clarify or remedy the concern.

14.3 The Creator shall reasonably cooperate with investigations, complaints, intellectual-property notices and binding directions issued by competent authorities.

15. Indemnity

15.1 To the fullest extent permitted by Applicable Law, the Creator shall indemnify OGROTI, its proprietor and their authorised representatives and service providers against third-party claims, losses, damages, reasonable legal expenses and proceedings arising from: (a) Creator Content infringing third-party rights; (b) false, misleading or unlawful statements, testimonials, endorsements or advertisements; (c) the Creator's fraud, wilful misconduct, negligence or material breach; (d) failure to obtain legally required licences, permissions, releases, disclosures or consents; or (e) advertising, consumer-protection, tax, data-protection or sector-specific violations attributable to the Creator.

15.2 OGROTI shall give reasonably prompt notice of a claim. The Creator shall not settle a claim imposing liability or obligations on OGROTI without prior written consent.

15.3 The indemnity does not apply to the extent a claim or loss is attributable to OGROTI's own fraud, wilful misconduct, unlawful conduct, negligence or breach of a non-excludable statutory duty.

16. Liability

16.1 OGROTI's responsibilities are confined to the Platform services expressly provided under these Terms, including the coordination and product check described in clause 9.

16.2 To the fullest extent permitted by Applicable Law, OGROTI is not responsible for losses arising from: (a) agreements between Creators and Brands; (b) non-payment, delay, cancellation or breach by a Brand; (c) infringement, misrepresentation or unlawful conduct attributable to the Creator; (d) a product's contents, quality or performance beyond the check in clause 9.3; (e) failure to obtain expected assignments, engagement, followers, revenue or results; or (f) third-party acts outside OGROTI's control.

16.3 OGROTI does not warrant uninterrupted or error-free Platform availability.

16.4 Nothing in these Terms excludes or restricts liability for OGROTI's own fraud, wilful misconduct, unlawful conduct or any liability that cannot lawfully be excluded.

17. Suspension and termination

17.1 The Creator may stop participating at any time by deleting their page or account, or by writing to hello@ogroti.net. OGROTI may end participation on fifteen (15) days' written notice.

17.2 OGROTI may immediately suspend or terminate participation for serious fraud, unlawful activity, material infringement, security risk, binding legal directions or irremediable material breach, and may otherwise give notice and an opportunity to cure.

17.3 Termination does not affect Collaborations already agreed, accrued rights, lawful retention, confidentiality, clause 9.7, indemnity or dispute-resolution provisions.

18. Changes to these Terms

18.1 OGROTI may update these Terms to address legal, operational, technical or security changes. Each version is published with its own version number and stays available unchanged.

18.2 Material changes shall ordinarily be communicated at least fifteen (15) days before they take effect, except in urgent legal or security circumstances, and will be accepted afresh in the app where acceptance is required.

18.3 A Creator who does not accept a material change may stop participating before it takes effect.

19. Governing law and disputes

19.1 These Terms are governed by the laws of India.

19.2 The Parties shall first try to resolve disputes through good-faith discussion within thirty (30) days of written notice.

19.3 Subject to arbitrability and Applicable Law, unresolved disputes shall be referred to a sole arbitrator mutually appointed under the Arbitration and Conciliation Act, 1996, or, failing agreement, appointed under the statutory procedure. The seat of arbitration shall be Bengaluru, Karnataka, and the language English.

19.4 Mandatory statutory remedies, competent regulatory forums and non-waivable rights remain unaffected.

20. General

20.1 These Terms, together with the OGROTI Creator Privacy Notice and any terms agreed for a particular Collaboration, form the agreement between the Creator and OGROTI.

20.2 If a provision is unenforceable, the rest continues to apply. Failure to exercise a right is not a waiver.

20.3 The Creator may not transfer rights or obligations without OGROTI's prior written consent. OGROTI may transfer the arrangement to a lawful successor of the Platform, with notice.

20.4 Neither Party is liable for failure caused by events beyond reasonable control, subject to reasonable mitigation.

20.5 Notices are sent to the email address registered on the account, and to OGROTI at hello@ogroti.net.

21. Electronic acceptance

21.1 Before accepting, the Creator has access to the complete current version of these Terms and of the OGROTI Creator Privacy Notice.

21.2 The Creator accepts through a mandatory, initially unticked checkbox identifying these Terms by title and version, and separately acknowledges the Privacy Notice.

21.3 OGROTI records the versions accepted, the checkbox wording, the date and time, the account email, the IP address and the browser used, in a record that cannot be edited. Electronic acceptance and these records may be relied upon subject to applicable contract, evidence, electronic-record and stamp laws.
